Store Agreement

This Store Agreement ("Agreement") is a binding legal contract between Tringify ("Tringify," "we," "us," or "our") and the individual or entity that creates or operates a store on the Tringify platform ("Merchant," "you," or "your"). By creating a store, continuing to operate a store you already own, or being added as an owner of a store, you agree to be bound by this Agreement.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "Merchant" refers to that entity.

1. The Store

1.1 Eligibility

You must be at least the age of majority in your jurisdiction, have the legal capacity to enter into contracts, and have a Tringify account in good standing.

1.2 One store, one Merchant

Each store has exactly one owner at any given time. Ownership may be transferred using the Tringify-provided transfer flow.

1.3 Store name, subdomain, and domain

You are responsible for the store name, subdomain, and any custom domains connected to the store. You will not choose names or subdomains that infringe third-party trademarks or impersonate Tringify.

1.4 Plan and billing currency

Store plan, billing currency, and billing country are configured at store creation and govern how you are invoiced. Some fields are immutable after creation and must be set correctly up front.

2. Your Content and Data

2.1 Ownership of Merchant content

You retain ownership of Merchant Content. Tringify does not claim ownership.

2.2 License to Tringify

You grant Tringify a worldwide, non-exclusive, royalty-free license to host, reproduce, display, adapt, index, cache, and transmit Merchant Content solely to operate the store and deliver the storefront to your customers.

2.3 Responsibility for Merchant Content

You are solely responsible for Merchant Content, including its legality, accuracy, and the rights you have to upload and display it. Tringify may remove Merchant Content that violates this Agreement, platform policies, or applicable law.

2.4 AI-generated and automated content

You are fully responsible for Merchant Content you create, generate, or publish using AI or automated tools, including listings, descriptions, imagery, translations, and support replies. The duties in sections 2.1 through 2.3 apply to AI-generated content without modification.

2.5 Customer data

Customer data collected through the store belongs to your customers; you are its controller under applicable privacy law. You will comply with applicable privacy and data-protection laws and with the privacy policy you publish on your storefront.

2.6 Breach notification

If you become aware of a security incident affecting customer data or Merchant Content on the platform, you will notify Tringify within seventy-two (72) hours of awareness. Tringify will notify you of a platform-side incident that materially affects your store within seventy-two (72) hours of confirmation, subject to law-enforcement or legal constraints.

2.7 Retention and deletion

When you delete Merchant Content, customer data, or the store itself, Tringify will delete or anonymize the affected data within the retention window published in Tringify's documentation, except where retention is required by law or an active dispute.

3. Your Business

3.1 Products and services

You are solely responsible for the products and services you sell, including accuracy of listings, pricing, taxes, fulfillment, warranties, returns, and customer support.

3.2 Compliance with law

You will comply with all laws and regulations that apply to your business, including consumer protection, product safety, marketing, tax, anti-money-laundering, sanctions, and export-control laws.

3.3 Acceptable use policy

Tringify's acceptable use policy ("AUP") is incorporated into this Agreement by reference. Where this Agreement and the AUP differ on what is prohibited, the stricter rule applies.

4. Billing, Fees, and Taxes

4.1 Platform fees

Your use of the platform is governed by the plan you have selected and Tringify's published fee schedule.

4.2 Payment of fees

You will keep a valid payment method on file and pay all platform fees when due. Failure to pay may result in suspension, downgrade, or termination following the notice periods published in Tringify's billing documentation.

4.3 Changes to fees

Tringify may change platform fees with reasonable advance notice through the store admin, account email, or billing documentation.

4.4 Taxes

You are solely responsible for determining, collecting, remitting, and reporting all taxes applicable to your sales to end customers.

5. Payments to End Customers

5.1 Payment processing

Payments are processed by third-party payment processors or by Tringify's designated payment products, subject to their own terms.

5.2 Chargebacks, refunds, disputes

You are responsible for chargebacks, refunds, and disputes arising from customer transactions. Tringify may require a reserve, withhold payouts, or adjust billing where chargeback or fraud risk reasonably requires it, in an amount no greater than what the risk reasonably requires and consistent with applicable law.

5.3 Payouts on account closure

When you close your store, pending payouts for transactions captured before closure continue on the processor's normal payout schedule, subject to any hold the processor applies for chargeback risk. Tringify will not accelerate or delay payout timing except as required by law or the processor's terms.

6. Tringify's Services

6.1 Availability

Tringify will use commercially reasonable efforts to keep the platform available. Tringify does not guarantee uninterrupted service unless a separate service-level agreement is signed.

6.2 Changes to the platform

For breaking changes to stable, non-beta APIs or admin features, Tringify will provide at least ninety (90) calendar days advance notice, except where an earlier change is required for security or legal reasons.

6.3 Third-party apps

The store can be extended with third-party apps and integrations, which are governed by the terms those third parties present to you. Tringify is not responsible for third-party offerings.

7. Intellectual Property

Tringify and its licensors own all right, title, and interest in and to the Tringify platform, admin, storefront runtime, APIs, SDKs, tooling, documentation, and marks. Except for the rights expressly granted in this Agreement, Tringify reserves all rights.

8. Warranties and Disclaimer

Tringify provides the platform "AS IS" and "AS AVAILABLE," without warranty of any kind, whether express, implied, or statutory. This Agreement does not disclaim any warranty that cannot be disclaimed under applicable law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Tringify's total aggregate liability under this Agreement will not exceed the greater of (a) the total platform fees paid by you to Tringify for the affected store in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars. In no event will Tringify be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

10. Indemnification

You will defend, indemnify, and hold harmless Tringify and its affiliates from and against any third-party claims, damages, and expenses arising out of your store, the products and services you sell, Merchant Content (including AI-generated content), your breach of this Agreement, or your violation of any law or third-party right.

11. Suspension and Termination

11.1 Termination by you

You may close the store at any time from the admin, subject to the close-store flow, outstanding fees, and any grace periods.

11.2 Termination by Tringify

Tringify may suspend or terminate the store, suspend features, or restrict storefront access immediately and without prior notice if you materially breach this Agreement, violate applicable law, create a meaningful risk, or fail to pay platform fees within the published grace period.

11.3 Effect of termination

Upon termination, all licenses and rights granted to you under this Agreement immediately cease.

11.4 Storefront takedown window

When a store is closed (by you or by Tringify), the public-facing storefront will be taken offline within thirty (30) calendar days, except where an active legal hold, dispute, or tax-reporting obligation requires a longer retention period. Admin access may be retained for a shorter window to complete exports, reconcile billing, and finalize any pending payouts.

12. General

12.1 Changes to this Agreement

Tringify may update this Agreement from time to time. When a material change is made, we will publish a new version and notify the store owner. Continued operation of the store after the effective date of the new version constitutes acceptance.

12.2 Governing law

This Agreement is governed by the laws of the jurisdiction in which Tringify is organized.

12.3 Informal dispute resolution

Before filing any claim, the parties will attempt to resolve the dispute informally by written notice to the other party describing the claim and a proposed resolution, followed by a good-faith discussion period of at least thirty (30) days. This step does not apply to injunctive or equitable relief, intellectual-property claims, or claims that cannot be subjected to pre-filing procedures under applicable law.

12.4 Entire agreement

This Agreement, together with the AUP and any additional terms expressly incorporated by reference, constitutes the entire agreement between you and Tringify concerning the store.

12.5 Severability and waiver

If any provision of this Agreement is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. A waiver of any breach is not a waiver of any subsequent breach.

12.6 Assignment

You may not assign this Agreement without Tringify's prior written consent, except by transferring store ownership through the Tringify-provided flow. Tringify may assign this Agreement freely.

By creating a store, continuing to operate a store, or accepting an updated version of this Agreement in the store admin, you acknowledge that you have read, understood, and agree to be bound by this Store Agreement.
